Pursuant to the provisions of Regulation 30 of the SEBI (Listing Obligations and Disclosures Requirement) Regulation, 2015 (‘SEBI Listing Regulations’), Fortis Healthcare has informed that International Hospital (‘IHL’), a wholly-owned subsidiary of the Company, on December 19, 2025 at 11:25 PM (IST), signed definitive agreements for acquisition of TMI Healthcare (primarily comprises hospital operations) through a share purchase agreement and acquisition of the underlying hospital land and building, and the adjacent land thereto (‘Proposed Transaction’). The consummation of the Proposed Transaction is subject to certain customary conditions precedent and closing conditions, as agreed under the terms of the relevant definitive agreements. Details as required under SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, is enclosed as Annexure A.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’) read with Schedule III of the Listing Regulations, Fortis Healthcare has informed about the following changes in the composition of the Board: (a) Based on the recommendation of the Nomination and Remuneration Committee of the Company, the Board of Directors of the Company through circular resolution passed today, i.e. December 19, 2025 had approved the appointment of Mohd Shahazwan Bin Mohd Harris (DIN: 08465456) as an Additional Director (Non-Executive & Non-Independent) of the Company effective from December 19, 2025. Mohd Shahazwan Bin Mohd Harris is not debarred from holding the office of Director by virtue of any order passed by SEBI or any other authority. The date and time of occurrence of event is December 19, 2025 at 09.01 AM (IST); (b) Lim Tsin Lin (DIN: 10118906) had resigned from the position of Non-Executive & Non-Independent Director of the Company and accordingly, ceased to be Director of the Company effective from December 19, 2025 (close of business hours). The resignation letter of Lim Tsin Lin is enclosed as Annexure -A. The detailed disclosure as required under Regulation 30 of the Listing Regulations read with Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 is enclosed as Annexure-B. The date and time of occurrence of event is December 19, 2025 at 01.23 pm (IST).

Solara Active Pharma Sciences has informed that the Board of Directors of the Company based on the recommendation of the Nomination and Remuneration Committee, at its meeting held today i.e. December 17, 2025, transacted and approved the appointment of Mohanraj S(DIN: 08420411) as an Additional - Executive Director and Whole -Time Director for a period of 3 years with effect from January 1, 2026 subject to approval of the Shareholders of the Company. Further, in terms of BSE Circular bearing Reference No. LIST/COMP/14/2018-19 and NSE Circular bearing Reference No. NSE/CML/2018/24 dated June 20, 2018, they confirmed that Mohanraj S is not debarred from accessing capital markets and /or restrained from holding the office of Director by virtue of any order of the Securities and Exchange Board of India (“SEBI”) or any other such authority.
