Asian Paints informs about change in directorate

In accordance with the applicable provisions of the Companies Act, 2013, Nehal Vakil (DIN: 00165627) was appointed as a Non–Executive Director of the Company with effect from 1st March 2022 to fill the casual vacancy created on the Board on account of the sad demise of Abhay Vakil, Non-Executive Director of the Company, to hold the office up-to the date that Abhay Vakil would have held office. Nehal Vakil will hold office as the Non–Executive Director up to the date of the ensuing Annual General Meeting (AGM) of the Company to be held on Tuesday, 25th June 2024; Asian Paints has informed that the Board of Directors of the Company at their meeting held today i.e., Thursday, 9th May 2024, based on the recommendations of the Nomination and Remuneration Committee and subject to the approval of the shareholders of the Company, have unanimously approved the appointment of Nehal Vakil as a Non-Executive Director of the Company with effect from the date of the ensuing AGM of the Company. The brief profile of Nehal Vakil is enclosed. Nehal Vakil is the daughter of late Abhay Vakil, cousin of Amrita Vakil, Non-Executive Director of the Company, and a member of the Promoter(s) Group of the Company. To the best of knowledge and information and as confirmed by Nehal Vakil, she has not been debarred from holding the office as a Director of the Company, by virtue of an Order passed by the Securities and Exchange Board of India or any other authority. Further, as affirmed by her, she is not disqualified from holding the office as a Director pursuant to the provisions of Section 164 of the Companies Act, 2013. The approval of the shareholders for the aforesaid appointment will be sought at the ensuing AGM of the Company. The Board Meeting commenced at 10:00 am IST and concluded at 3.45 pm IST.
