In terms of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing.Regulations’), Ganesh Benzoplast has informed that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors have passed a circular resolution on February 15 2020, approving appointment of Niraj Nabh Kumar (DIN:03401815) as an ‘Additional Director (Non-Executive Independent Director)' on the Board of Directors of the Company with effect from February 15, 2020 to hold office till the conclusion of the next Annual General Meeting and subject to the approval of the members in the ensuing General Meeting, for appointment as an Independent Director to hold office for a term upto five (5) consecutive years from the date of ensuing general meeting. Niraj Nabh Kumar will be a Non-Executive, Independent Director and he is not related to the Promoter or Promoter Group and fulfills the criteria of independence as required under the provisions of the Companies Act, 2013 and the Rules framed there under and the Listing Regulations, 2015. Disclosure required pursuant to Regulation 30 of the Listing Regulations read with Para A of Part A of Schedule III to the Listing Regulations read with the SEBI Circular having reference no. CIR/CFD/CMD/4/2015 dated September 9, 2015, with regard to change in Directors and Key Managerial Personnel is attached as ‘Annexure A’.
