KMS Medisurgi has informed that pursuant to Regulation 29 and Regulation 47(1) of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Board of Directors of the Company at its meeting held on Monday, September 07, 2020 has approved the following: Declaration of Final Dividend of Re 0.05 (0.5%) per equity share of Face Value of Rs 10 each, for the Financial Year 2019-20; Appointment of Director in place of Siddhartha Gaurang Kanakia (DIN: 07595098), who retires by rotation and being eligible, offers himself for appointment; Directors Report for FY2019-20 and Notice for 22nd Annual General Meeting and recommend to the members Balance Sheet, Profit & Loss A/c, Cash Flow, Auditors Report and Notes thereon; Holding of 22nd Annual General meeting of the Company on 30th September 2020 through video conferencing (VC)/ Other Audio-Visual Means (OAVM) in accordance with the applicable provisions of the Companies Act, 2013 read with MCA General Circular No. 20/2020, 14/2020 and 17/2020 dated 5th May, 2020, 8th April, 2020 and 13th April, 2020 respectively; Adoption of Secretarial Audit Report for FY2019-20 and take note on observation/ Comments/ qualification, made by Secretarial auditors; Resignation of Company Secretary Pallavi Lakdawala; and appointment of Pratik Pravin Tarpara (DIN: 08689556) as Director subject to approval of shareholders in Annual General Meeting. The Register of Members & Share Transfer Books of the Company will remain closed from September 24, 2020 to September 30, 2020 for the purpose of Payment of Final Dividend & 22nd Annual General Meeting (AGM) of the Company to be held on September 30, 2020. The meeting of Board of Directors of the Company commenced at 03.30 pm and concluded at 6.00 pm. The information as required under the Regulations of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, is enclosed.
