Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’), Phoenix Mills has informed that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors at their meeting held on May 27, 2021 approved the following: Re?appointment of Shishir Shrivastava (DIN: 01266095) as the Managing Director of the Company for a further period of five years with effect from July 30, 2021 to July 29, 2026 and Appointment of Rajesh Kulkarni (DIN: 03134336) as a Whole time Director of the Company for a period of 5 years with effect from May 27, 2021 to May 26, 2026. The aforesaid appointment/re?appointment is subject to approval of members at ensuing Annual General Meeting of the Company. Further, as required pursuant to BSE Circular with ref. no. LIST/ COMP/ 14/ 2018?19 and the National Stock Exchange of India Circular with ref. no. NSE/ CML/ 2018/ 24, dated 20th June, 2018 and based on the declarations received from the Directors, the company has confirmed that Shishir Shrivastava and Rajesh Kulkarni have not been debarred from holding the office of Director by virtue of any SEBI order or any other such authority. The details as required under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular CIR/CFD/CMD/4/2015 dated September 9, 2015 are attached as Annexure A to this letter.
