Apcotex Industries has informed that the Board of Directors of the Company, at their meeting held today, on Monday, 17th June 2024, approved the following: 1. Appointment of Dinanath Kholkar (DIN: 03089626) as an Additional Non-Executive Independent Director on the Board of the Company with effect from 17th June 2024, for a period of 5 years. The above appointment is based on the recommendation of the Nomination and Remuneration Committee of the Company. Further, Dinanath Kholkar has confirmed that he meets the criteria of 'independence' under Section 149 of the Companies Act, 2013 and Regulation 16 of the Listing Regulations and is not debarred from holding the office of Director by virtue of any order passed by Securities and Exchange Board of India (SEBI) or any other such authority. 2. Re-appointment of Udayan Choksi (DIN: 02222020) as an Independent Director of the Company for a second term of 5 years from the conclusion of the AGM to be held in year 2024 i.e 29th July 2024 till 28th July 2029. The above re-appointment is based on the recommendation of the Nomination and Remuneration Committee of the Company. Further, Udayan Choksi has confirmed that he meets the criteria of 'independence' under Section 149 of the Companies Act, 2013 and Regulation 16 of the Listing Regulations and is not debarred from holding the office of Director by virtue of any order passed by Securities and Exchange Board of India (SEBI) or any other such authority. The Company shall seek Member’s approval for the aforesaid appointment/ re-appointment in the forthcoming Annual General Meeting scheduled on 29th July 2024. The details in respect of the above appointment/ re-appointment of Directors, as required under SEBI Regulations read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated 13th July 2023 is given in Annexure A to this letter. This intimation is submitted pursuant to Regulation 30 read with Para A of Part A & Regulation 51 read with Para A of Part B of Schedule III, of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
