Titan Company has informed that based on the nomination received from Tata Sons (Tata Sons), co-promoter of the Company, the Board vide Circular Resolution dated 22nd October 2024, which was duly approved by requisite majority on 23rd October 2024, approved the appointment of P B Balaji as an Additional Director on the Board of the Company with effect from 28th October 2024. Balaji will hold office as an Additional Director liable to retire by rotation, effective 28th October 2024, and the approval of the shareholders as required under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI LODR) would be obtained within the period prescribed under the SEBI LODR. The details of appointment of Balaji, as required under SEBI LODR read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated 13th July 2023 is given in Annexure A to this letter.
