S Mobility to sell Mobile Handset business to Spice Retail

S Mobility has received an approval to sell/ transfer the Mobile Handset business of the company to Spice Retail, a wholly owned subsidiary of the company, under Companies Act, 1956, as a going concern with effect from July 01, 2013 by way of slump sale at book value pursuant to the authority given by the members of the company through the postal ballot. The board of directors at its meeting held on June 28, 2013 has approved for the same.

The board also approved to close down both the units of the company i.e. Unit I and Unit II located at Baddi in state of Himachal Pradesh, which were predominantly for manufacturing feature phone hand sets, with immediate effect. The company had kept a skeletal presence at Baddi over the past few months with the hope of reviving the production. The board believes that the assembly/production will be unviable at the current low volumes and also due to fast changing technology.

Besides, the closure of the said units would not have any impact on the performance of the company as the company is engaged in the distribution of the mobile handsets under the brand name SPICE and 100% of the mobile handsets distributed are contract manufactured and customized as per the Indian market requirement before importing.

Further, the company is in the process of changing the business focus from mobile to mobile internet and hence will be focusing on new technologies like 3G, 4G, etc. which will enable consumers to have rich mobile internet experience.
